Terms of Service.

Last updated

These Terms of Service (“Terms”) are an agreement between you and Fairform Labs, LLC (“we” or “us”), the company that runs Alvia. By creating or joining an organization in the dashboard, or by using Alvia, you agree to these Terms and the Acceptable Use Policy. The Privacy Policy explains how we handle personal information. If you use Alvia for a company, you confirm that you can accept these Terms for it, and “you” means that company.

1. The Service

Alvia is a hosted memory service for AI agents and applications. It includes the Alvia API, the MCP server, the dashboard, the documentation and our website (together, the “Service”).

We improve the Service over time. We will tell you at least 30 days before a change removes a feature you use, unless we must remove it sooner for security or legal reasons.

2. Who can use Alvia

  • Alvia is for developers and the companies they work for.
  • You must be at least 13 years old. If you are under 18, a parent or guardian must agree to these Terms for you.
  • Alvia is only for organizations based in the United States.
  • You may not use Alvia if US law prohibits you from receiving it (see section 13).

3. Your account

  • Your organization is your account in the dashboard. Each member signs in with their own user account.
  • Only admins can manage members, revoke API keys and delete the organization. Every member can see every project, create API keys and delete projects, so invite only people you trust with all of your organization’s content.
  • Give accurate information and keep it current.
  • You are responsible for everything done through your organization and its API keys. Keep your keys secret. If you think someone else has a key, an admin should revoke it at once. Tell us at security@alvia.ai if you think your organization is compromised.

4. One Free organization

Each person or company may have only one organization on the Free plan. A new organization starts on Free, so if you already have one, upgrade the new one. You may also be a member, or an admin, of organizations that other people or companies own.

Do not create, control or use more organizations or user accounts to get more free usage, or to get around an allowance, a limit, a suspension or a payment.

5. Plans and billing

  • Plans. Each plan’s price, monthly allowances and stored-memory limit are shown in the pricing section of our website and in the dashboard. Rate limits are in the documentation. If you and we sign a separate agreement, such as for a Custom plan, it controls where it differs from these Terms.
  • Billing. We bill paid plans in advance on the first day of each month through our payment processor. Your first charge covers the rest of the month in which you subscribe, prorated, and you get the plan’s full allowances at once. You authorize us to charge your payment method each month.
  • Automatic renewal. A paid plan renews each month until you cancel it.
  • Plan changes. An upgrade starts at once, with a prorated charge for the rest of the month. A downgrade starts on the first day of the next month.
  • Cancellation. You can cancel a paid plan at any time in the dashboard. It stays active until the end of the month you paid for, then your organization moves to the Free plan.
  • Allowances. Monthly allowances reset at 00:00 UTC on the first day of each month. On every plan, once an allowance is used up, Alvia refuses the requests that use it until it resets or you upgrade. At the stored-memory limit, Alvia refuses new memories. There are no overage charges.
  • Moving to a smaller plan. When you downgrade, cancel or move to Free, your memories and projects stay. If you are over a limit of the new plan, you can still read them, but new memories or projects are refused until you are under it.
  • Failed payments. If a payment fails, we retry it for 5 business days and email your organization’s admins. If it is still unpaid after 5 business days, your organization moves to the Free plan. Unpaid amounts stay due.
  • Refunds. Fees are not refundable, except where the law requires a refund.
  • Taxes. Prices do not include taxes. You pay any taxes that apply.
  • Price and plan changes. We will tell you at least 30 days before we raise your plan’s price or lower its allowances or limits. The change starts on the first billing date at least 30 days after we tell you. If you do not agree, cancel before then.

6. Your content

“Your content” means what you or your application send to Alvia, such as statements, conversations, queries and memory feedback, and the memories and context Alvia forms from it.

  • You own your content. These Terms do not give us ownership of it.
  • Our use of it. You allow us to store, copy, process and transmit your content only to provide, secure and support the Service for you, to enforce these Terms and when the law requires it. This includes sending it to service providers, such as AI model providers, that process it for us. Our AI model providers may keep it for a limited time, for example to detect abuse or fix problems, as the law allows.
  • No training. We never use your content to train or improve AI models.
  • Staff access. Our staff look at your content only to give support you ask for, to fix a problem with the Service, to keep it secure, to investigate a breach of these Terms or when the law requires it.
  • Usage data. We may use data about how the Service is used to run it and, in a form that does not include your content or identify you or your organization, to improve it.
  • Personal information. When your content includes personal information, we are your service provider. You give it to us only so that we can store it, form memories from it, answer your queries and secure and support the Service. We will not sell it or share it (as California privacy law defines those words). We will not keep, use or disclose it for any other purpose, or outside our relationship with you, or combine it with other data, except as the law allows. We will comply with California privacy law and give it the same level of protection that law requires of you, keep it confidential, hold our service providers to the same duties and help you respond to requests from the people it is about. We will tell you if we can no longer meet these duties. You may take reasonable and appropriate steps to check that we meet them, such as asking for information that shows we do, and, after telling us, to stop and fix any use these Terms do not allow.
  • Security incidents. If we learn that someone got unauthorized access to your content, we will tell your organization’s admins without undue delay, and within any shorter time the law requires, and give you the information we have that you need to respond.
  • Your responsibility. You confirm that you have the rights, notices and consents needed to send your content to Alvia. Do not send the data that the Acceptable Use Policy prohibits.
  • Deletion. You can forget a memory, delete a project or delete your organization. The Privacy Policy explains what each one removes. Deleting an organization deletes its content at once, except for the backups and records the Privacy Policy describes, and cannot be undone. Retrieve what you need through the API first.

7. Acceptable use

You must follow the Acceptable Use Policy. It is part of these Terms.

8. Suspension and termination

By you. You can stop using Alvia at any time. An admin can delete your organization in the dashboard.

By us. We may investigate suspected breaches of these Terms, including the use of more than one Free organization. If any of the following is true, we may suspend or limit your access, revoke API keys, refuse new accounts and close your organization, together with any other organization or user account that we reasonably believe the same person or company controls and uses to get around these Terms:

  • you break these Terms or the Acceptable Use Policy
  • we reasonably suspect fraud or abuse of the Free plan
  • your use puts the Service, other customers or anyone else at risk
  • the law requires it

Notice. On the Free plan, we may act without notice. On a paid plan, we will first tell you and give you a reasonable time to fix the problem, unless the problem is serious, such as a security risk, fraud, illegal use, abuse of the Free plan or harm to others. In those cases, we may act at once without notice. If a paid organization did not take part in the problem, we will tell it first, unless the law prohibits it.

Reasons and appeals. When we take any action under this section, we will tell you why, unless the law prohibits it. To appeal, email privacy@alvia.ai within 30 days after we tell you. We will review your appeal and reply. Once a problem is fixed, you can ask us to lift an action, including a refusal of new accounts, and we will review your request.

After termination. Your right to use the Service ends. A suspension keeps your content. When an organization is closed, we delete its content at once, except for the backups and records the Privacy Policy describes. Fees you owe stay due. Sections 6, 8, 9, 10, 11, 14 to 18, 20 and 21 continue to apply.

If we stop offering the Service, we will tell you at least 30 days in advance and end paid plans at the end of a month, so that you do not pay for days we do not provide.

9. Suggestions

If you send us ideas or suggestions about the Service, we may use them without any obligation to you. This section does not cover memory feedback your application sends through the API, which is your content.

10. Our rights

Alvia, its software, documentation and brand belong to us. While you follow these Terms, you may use the Service to build and run your applications. These Terms give you no other rights in it.

11. AI-generated output

Alvia uses AI models to form memories and to write context. Their output can be incomplete or wrong. Alvia returns context; your application decides what to do with it. You are responsible for checking the output and for how your application uses it.

If you believe content stored in Alvia infringes your copyright, send a notice to our copyright agent that meets the requirements of the Digital Millennium Copyright Act (17 U.S.C. § 512(c)(3)):

We may disable access to content that is the subject of a valid notice, and we will tell you when we do. If you believe that was a mistake, you can send our agent a counter-notice under 17 U.S.C. § 512(g)(3). We close the accounts of repeat infringers in appropriate cases.

13. Sanctions and export controls

You may not use Alvia if you are located in a country or region under US embargo, or if you are on a US government list of restricted parties or owned or controlled by such a party. Do not let anyone in those places or on those lists use Alvia through your application. Do not use Alvia in breach of US export control or sanctions laws.

14. Other services

You may connect Alvia to tools from other companies, such as AI assistants and code editors. Their terms govern your use of them, and we are not responsible for them.

15. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”. EXCEPT AS THESE TERMS EXPRESSLY STATE, AND TO THE EXTENT THE LAW ALLOWS, WE MAKE NO OTHER WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. WE DO NOT PROMISE THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT ITS OUTPUT WILL BE ACCURATE.

16. Limitation of liability

TO THE EXTENT THE LAW ALLOWS, AND WHETHER A CLAIM IS IN CONTRACT, TORT (INCLUDING NEGLIGENCE) OR ANY OTHER THEORY:

  • WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA OR GOODWILL, EVEN IF WE WERE TOLD THEY WERE POSSIBLE.
  • OUR TOTAL LIABILITY FOR ALL CLAIMS ABOUT THE SERVICE OR THESE TERMS IS LIMITED TO THE GREATER OF THE FEES YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT THAT GAVE RISE TO THE CLAIM AND 100 US DOLLARS.

THESE LIMITS DO NOT APPLY TO LIABILITY THAT THE LAW DOES NOT ALLOW US TO LIMIT, SUCH AS FOR FRAUD, GROSS NEGLIGENCE OR WILFUL MISCONDUCT.

17. Indemnity

You will defend Fairform Labs, LLC and its members, officers and employees against any claim by a third party that arises from your content, your application, your use of the Service in breach of these Terms or your breach of the law, and pay the damages, costs and reasonable attorneys’ fees that result. This does not cover a claim to the extent our breach of these Terms caused it. We will tell you promptly about the claim, let you control the defense and help at your cost. A delay in telling you excuses you only to the extent it harms your defense. We may take part with our own lawyer at our cost. You may not settle a claim in a way that admits fault for us or requires us to do or pay anything without our written consent.

18. Disputes

  • Talk first. Before either party starts a legal claim, it will email the other and describe the dispute, and both will try in good faith to resolve it for 30 days. Our address for this is privacy@alvia.ai.
  • Governing law. The laws of the State of Georgia govern these Terms, without regard to its conflict-of-laws rules.
  • Courts. Any dispute about the Service or these Terms will be decided only in the Superior Court or State Court of Fulton County, Georgia, or the United States District Court for the Northern District of Georgia, Atlanta Division. You and we agree to the jurisdiction of those courts.
  • No class actions. To the extent the law allows, you and we may bring claims only for ourselves, not as a plaintiff or class member in a class, collective or representative action.
  • Urgent relief. Despite the rules above on talking first and on courts, either party may ask any court with jurisdiction for urgent relief to protect its intellectual property or the security of the Service.

19. Changes to these Terms

We may update these Terms. We will tell you at least 30 days before a material change takes effect, by email to your organization’s admins or in the dashboard. Other changes take effect when we post them. The date at the top shows the latest version. If you keep using the Service after a change takes effect, you accept the updated Terms. If you do not agree, stop using the Service and delete your organization. A change does not apply to a dispute that arose before it.

20. Notices

We send notices by email to your organization’s admins or in the dashboard. You agree to receive notices electronically. Send legal notices to us at the address below, with a copy to privacy@alvia.ai.

21. General

  • These Terms, including the Acceptable Use Policy, are the whole agreement between you and us about the Service, unless you and we sign a separate agreement that says it replaces them.
  • If a court finds part of these Terms unenforceable, the rest stays in effect.
  • If we do not enforce a right, we do not give it up.
  • You may not transfer these Terms without our written consent. We may transfer them as part of a merger, acquisition or sale of assets.
  • Neither party is liable for a delay or failure caused by events beyond its reasonable control, except a duty to pay.
  • You and we are independent contractors. These Terms give no rights to anyone else, except the people section 17 protects.
